This Service Level Agreement (“SLA”) and Availability Disclaimer governs the provision of all services by Lyvora Technologies (“Lyvora,” “we,” “our,” or “us”), including web hosting, VPS, dedicated servers, domain registration, SSL certificates, website and online store development, WordPress/WooCommerce, Shopify, Wix, cPanel/WHM, plugins, analytics, payment processors, and other technology services (“Services”).
By using Lyvora Services, you (“Client,” “you,” or “your”) acknowledge and agree to the terms outlined in this SLA and Availability Disclaimer.
1. Nature of Services
1.1 All Services are provided on an “AS IS” and “AS AVAILABLE” basis.
1.2 Lyvora acts primarily as a reseller or facilitator of third-party platforms, plugins, hosting providers, and service providers.
1.3 Lyvora makes no guarantees regarding uptime, availability, performance, or security of any Service.
2. Uptime and Availability
2.1 Any uptime percentages or availability metrics referenced are estimates only.
2.2 Lyvora does not guarantee continuous, uninterrupted, or error-free service.
2.3 Service interruptions caused by third-party platforms, network providers, hardware failures, software issues, or force majeure events are beyond Lyvora’s control.
3. Maintenance and Downtime
3.1 Scheduled or emergency maintenance may occur at any time.
3.2 Lyvora and third-party providers are not required to provide advance notice for maintenance.
3.3 Clients are responsible for planning around downtime and maintaining backups to mitigate service interruptions.
4. Client Responsibility
4.1 Clients are responsible for:
- Monitoring uptime and performance of their own websites, applications, or hosted services.
- Implementing backups, failover, and disaster recovery strategies.
- Managing plugins, updates, and third-party integrations that affect performance.
4.2 Lyvora is not liable for data loss, service interruptions, or business losses arising from client inaction.
5. Third-Party Provider Responsibility
5.1 Lyvora relies on third-party platforms, hosting providers, and registrars (e.g., Shopify, Wix, WordPress, cPanel/WHM).
5.2 All issues relating to downtime, service interruptions, or degraded performance caused by third-party providers are the responsibility of the third party.
5.3 Lyvora is not responsible for compensating clients for any downtime or reduced performance of third-party services.
6. Limitation of Liability
- Lyvora’s total liability under this SLA or Availability Disclaimer is strictly limited to fees paid directly to Lyvora for the affected service within the preceding 12 months.
- Lyvora is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from:
- Service interruptions, downtime, or outages.
- Third-party service failures.
- Loss of data, revenue, or business opportunities.
7. Acknowledgment
By using Lyvora Services, you acknowledge and agree that:
- Services are provided without guarantees of uptime or performance.
- Lyvora is acting as a facilitator/reseller for third-party providers.
- All risk associated with service availability, performance, and uptime is assumed entirely by the client.
